RoleScale Inc End User License Agreement

RoleScale Inc. the “Company,” has developed a proprietary software solution for human resources and recruiting departments that enables businesses to more efficiently and effectively review and interview job candidates. The Company’s software, called RoleScale, together with its suite of related features, products, and services, is available for client access through the Company’s website and backend portal. By accessing the RoleScale software, or clicking on “I agree” (or a similar box or button), you agree to be bound by this End User License Agreement (the “Agreement”). This Agreement is between you, as the Customer, and RoleScale Inc. (the “Company”).

The Company reserves the right to update and change the Agreement by posting updates and changes here: https://www.rolescale.com/agreement/

If a significant change is made, we will provide reasonable notice by email, posting a notice on our Blog, or in your dashboard. You are advised to check the Agreement from time to time for any updates or changes that may impact you. Any reference to the Agreement includes any and all terms and documents incorporated by reference.

You must read, agree with, and accept all of the terms and conditions contained in this Agreement, including our Privacy Notice and our Terms of Use Policy  before you access the RoleScale software. For the avoidance of doubt, our Policy Notice  and Terms of Use Policy form part of this Agreement and are incorporated by reference. For purposes of this Agreement, all references to “Account” and “Services” in our Terms of Use Policy will be deemed to refer to your Account and the Services to which you subscribe in connection therewith. Some types of Services may require that you agree to additional terms (“Additional Terms”). Such Additional Terms are incorporated into this Agreement by reference. In the event of a conflict or inconsistency between this Agreement and the Additional Terms, the Additional Terms will govern, to the extent of such conflict or inconsistency.

Everyday language summaries are provided for convenience only and are not legally binding. Please read this entire Agreement for a complete picture of your legal requirements. This Agreement governs your activities as a Customer, including access to the RoleScale software and your participation in the related activities. Be sure to occasionally check back for updates.

NOTICE OF LIMITATIONS OF LIABILITY, ARBITRATION, AND CLASS ACTION WAIVERS

This agreement contains various limitations and exclusions of liability in the disclaimer and the limitation of liability clauses, and an arbitration clause and class action waiver in section the  dispute resolution clause. by accessing or using the services, you agree, on behalf of yourself and any other person or entity that you represent, to resolve all disputes through binding individual arbitration. This means that you waive any right to have those disputes decided by a judge or jury, and that you waive your right to participate in class actions, class arbitrations, or representative actions. Also, this agreement, along with any other terms and conditions referred to in it, include your release of all claims for any damages against the seller and certain third parties that may arise out of or are otherwise related to your access or use of the services.

Unless defined elsewhere in this Agreement, terms set out in this Agreement are defined as follows:

  1. Personal Information: Refers to any information that can be used to identify an individual, including but not limited to name, email address, contact information, and user-generated content such as resumes and profiles.
  2. Usage Data: Data that is automatically collected when you interact with our services, including log data, device information, and browser type.
  3. Communication Data: Information exchanged between you and RoleScale Inc. through our platform, including messages, chat interactions, and other forms of communication.
  4. Assistive Technologies: Devices, software, or tools designed to assist individuals with disabilities in accessing digital content, such as screen readers, voice recognition software, and keyboard navigation.
  5. AI (Artificial Intelligence): A branch of computer science that focuses on creating machines capable of performing tasks that typically require human intelligence, such as natural language processing, problem-solving, and data analysis.
  6. Natural Language Processing (NLP): A subset of AI that deals with the interaction between computers and human language. It enables machines to understand, interpret, and generate human language in a valuable way.
  7. Web Content Accessibility Guidelines (WCAG): A set of international guidelines developed by the World Wide Web Consortium (W3C) for making web content more accessible to people with disabilities. These guidelines are widely accepted as a standard for web accessibility.
  8. Anonymized Data: Data that has been processed to remove any personally identifiable information, making it impossible to trace the information back to an individual.
  9. Ethical AI Usage: The practice of using artificial intelligence in a manner that upholds ethical principles, including fairness, transparency, accountability, and the avoidance of bias, discrimination, or harm.

  1. Resume Parsing: We are using both in-house and 3rd party tools to extract info from a Resume We evaluate individual segments of the resume & score it against a Job Description. Users can modify the weightage for each of the sections. Our software stands out with its advanced resume parsing capabilities, intelligently extracting relevant information and saving recruiters valuable time
  2. Video Interviews: Automated video interviewing using our AI algorithm will analyze various aspects of candidate responses such as facial expressions, tone of voice, body language, and more, providing a deeper insight to their skills and aptitude.
  3. Candidate Assessment and Platform Usage: The Platform enables us to assess and rank candidates based on our intelligent ranking algorithms.
  4. Intelligent Ranking System: Combining resume and video interview scoring to rank candidates based on an averaged score can be a helpful approach for recruiters to prioritize the most promising candidates first.
  5. AI Usage: RoleScale Inc. uses artificial intelligence (AI) to enhance our services, delivering more personalized and efficient experiences for our users. We are committed to using AI responsibly and respecting your data privacy. Here’s how AI is used in our services:
    • Resume and Profile Analysis:
      1. AI technology is used to analyze resumes and profiles submitted by users. This helps in identifying relevant skills, experience, and qualifications, ensuring a more accurate job matching process.
      2. Natural Language Processing (NLP): Our platform employs NLP techniques to enhance communication and interactions. This includes chatbots, automated responses, and improved search capabilities, enabling users to find information and connect more effectively.
      3.  Data-driven Insights: AI helps us gather insights from aggregated and anonymized data to improve our services. This includes identifying trends, optimizing features, and enhancing the overall user experience.
      4.  Data Security and Privacy: We take rigorous measures to protect the data used in AI processes. Your personal information is encrypted, and access to AI models is restricted to authorized personnel only.
      5. Transparency and Control: We are committed to providing transparency about AI usage. While AI enhances user experiences, you retain control over your data. You can manage your preferences, opt-out of certain AI-powered features, and choose the level of interaction with AI.
      6.  Continuous Improvement: Our AI models are continuously refined and improved based on user feedback and performance evaluations. We aim to ensure that AI-driven insights and recommendations are accurate and beneficial.
      7. Ethical AI Usage: We are mindful of the ethical implications of AI usage. Our AI systems are designed to avoid bias, discrimination, and unfair practices. We continuously monitor and audit our AI models to minimize unintended consequences.

RoleScale Inc. is committed to providing you with access to our services while respecting intellectual property rights. This section outlines the license grant and restrictions associated with the use of our platform, taking into account our patent-pending status with the United States Patent and Trademark Office (USPTO).

  1. License Grant: Subject to your compliance with this Privacy and Security Policy, as well as our Terms of Service, RoleScale Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our services. This license is solely for your personal or business purposes and does not transfer any ownership rights.
  2. Intellectual Property Rights: RoleScale Inc. retains all ownership and intellectual property rights related to our platform, including but not limited to trademarks, copyrights, patents, and trade secrets. Nothing in this license grants you the right to use our intellectual property without our prior written consent.
  3. User-Generated Content: You may submit user-generated content to our platform, such as resumes, profiles, and messages. By doing so, you grant RoleScale Inc. a worldwide, non-exclusive, royalty-free, and sublicensable license to use, reproduce, adapt, modify, distribute, publish, publicly perform, and publicly display such content solely for the purpose of providing and improving our services.
  4. Patent-Pending Status: RoleScale Inc. has submitted a patent application to the United States Patent and Trademark Office (USPTO) for certain features and innovations related to our services. During the patent-pending period, you agree not to engage in any activity that may infringe upon or challenge our patent rights.
  5. Restrictions: In connection with your use of our services, you agree not to:
    1. Copy, reproduce, modify, distribute, or create derivative works based on our platform, except as expressly authorized by us.
    2. Attempt to reverse engineer, decompile, or disassemble any aspect of our services or technology.
    3. Interfere with or disrupt the operation of our services or the servers and networks connected to them.
    4. Use our services in a manner that violates applicable laws, regulations, or the rights of others.
    5. Access or use our services for any purpose that is illegal or prohibited by this Privacy and Security Policy or our Terms of Service.
  6. Enforcement: We reserve the right to enforce these license grants and restrictions to the fullest extent permitted by applicable law. Any violation of these terms may result in the termination of your access to our services and may be subject to legal action.

By using RoleScale Inc services, you acknowledge and agree to adhere to these license grants and restrictions, including respect for our intellectual property rights and patent-pending status. Failure to comply with these terms may result in legal consequences.

4.1  Termination by roleScale Inc

  1. Reasons for Termination: RoleScale Inc. may terminate your access to our services, in whole or in part, under the following circumstances:
    1. Violation of Policies: Termination may occur if you violate any of our policies, including but not limited to our Privacy and Security Policy, Terms of Service, or License Grant and Restrictions.
    2. Non-Compliance: Failure to comply with applicable laws, regulations, or legal obligations can result in termination.
    3. Inactivity: We reserve the right to deactivate or delete accounts that have remained inactive for an extended period, typically determined by our discretion and stated in our Terms of Service.
    4. Legal Requirements: Termination may be necessary to comply with legal requirements, protect the rights and safety of others, or address fraud or security concerns.
    5. Unauthorized Access* If we detect unauthorized access, use, or tampering with our services or systems, we may terminate access to prevent further breaches.
  2. Consequences of Termination: Upon the termination of your access to our services, the following consequences may apply:
    1. Account Closure: Your account will be closed, and you will no longer have access to the features and data associated with your account.
    2. Data Retention: We may retain certain data in accordance with our data retention policy, as outlined in our Privacy and Security Policy.
    3. Loss of Licenses: Any licenses or permissions granted to you, such as the right to use our services, will cease upon termination.
    4. Legal Actions:** In cases of policy violations or illegal activities, we may take legal actions or report such activities to the appropriate authorities.
  3. Termination Process
    1. Notification* You will typically receive a termination notice via the email address associated with your account. This notice will specify the reason for termination and the effective date.
    2. Appeal: If you believe the termination is in error or would like to appeal, you can contact our support team at termination-appeals@rolescale.com within a specified timeframe, as indicated in the termination notice.
    3. Termination Date: The termination will become effective on the date specified in the notice. After this date, you will no longer have access to our services.
    4. Data Retrieval: If you wish to retrieve your data before termination, please contact us before the specified termination date. We will provide guidance on the data retrieval process.

4.2 Termination by the client

Clients who use RoleScale Inc.’s services may also have the option to terminate their engagement with us. Termination by the client can occur under the following circumstances:

  1. Contractual Agreement: Clients may terminate their engagement in accordance with the terms and conditions outlined in their contractual agreement with RoleScale Inc.
  2. Non-Renewal: Some client engagements may be subject to periodic renewals. If a client chooses not to renew their engagement, it will result in the termination of services at the end of the specified term.
  3. Cancellation Notice: Clients may provide notice of their intent to terminate services, as per the terms of their agreement. The notice period and associated requirements will be outlined in the contractual agreement.
  4. Consequences of Termination: Upon the termination of services, whether initiated by RoleScale Inc. or the client, the following consequences may apply:
    1. Account Closure: Your account or client engagement will be closed, and you or your organization will no longer have access to the features and data associated with the account.
    2. Data Retention: We may retain certain data in accordance with our data retention policy, as outlined in our Privacy and Security Policy.
    3. Loss of Licenses: Any licenses or permissions granted to you will cease upon termination.
    4. Legal Actions: In cases of policy violations or illegal activities, we may take legal actions or report such activities to the appropriate authorities.

4.3. Termination Process

  1. Notification: Whether termination is initiated by RoleScale Inc. or the client, both parties will typically receive a termination notice via the email address associated with the account or engagement. This notice will specify the reason for termination, the effective date, and any additional instructions or requirements.
  2. Appeal: If you believe the termination is in error or would like to appeal, you can contact our support team at info@rolescale.com within a specified timeframe, as indicated in the termination notice.
  3. Termination Date: The termination will become effective on the date specified in the notice. After this date, access to our services will cease.
  4. Data Retrieval: If you wish to retrieve your data before termination, please contact us before the specified termination date. We will provide guidance on the data retrieval process.
  1. Usage:
    1. RoleScale provides Internet based services through which employers looking to hire new talent can efficiently and effectively communicate with, review, and interview candidates.
    2. RoleScale provides Services through its website and backend portal, and all other suites of features, products and services offered through Rolescale from time to time.
    3. RoleScale will not sell any customer or consumer content or information to any third party.
  2. Eligibility: By using the Platform, you affirm that you are a representative authorized to act on behalf of the Client and have the legal authority to enter into this Agreement.
  3. Account Registration:  To access certain features of the Platform, you may be required to create an account. You must provide accurate and complete information during the registration process and maintain the confidentiality of your account credentials.
  4. ATS Integration: By using the Platform, you grant us permission to access and integrate with your ATS provider to facilitate seamless candidate information transfer. RoleScale Inc. understands the importance of streamlining the recruitment process for our users. To enhance your experience and facilitate the seamless transfer of candidate information, we offer ATS (Applicant Tracking System) integration. 
  5. Definition: ATS Integration refers to the capability of our platform to connect and exchange data with your ATS provider. An ATS is a software application that enables organizations to efficiently manage and automate their recruitment and hiring processes. Integration with your ATS allows for the smooth flow of candidate information between your ATS and our platform.
  6. Permission Granted: By using the RoleScale Inc. Platform, you grant us permission to access and integrate with your ATS provider. This permission is essential to enable the following:
  7. Seamless Candidate Information Transfer: Our ATS integration feature facilitates the transfer of candidate data between your ATS and our platform. This includes details such as resumes, profiles, application status, and interview feedback. The goal is to simplify the recruitment workflow, save time, and enhance your overall experience by centralizing candidate information.
  8. Enhanced Efficiency: Integration with your ATS eliminates the need for manual data entry and reduces the risk of errors associated with duplicate entries. It streamlines the recruitment process, allowing you to manage candidate information efficiently.
  9. Data Security: We prioritize the security and privacy of candidate data transferred through ATS integration. We employ industry-standard security measures to protect this information and ensure it is handled in accordance with our Privacy and Security Policy.
  10. Customization: ATS integration can be customized to meet your specific needs and preferences. You can configure the integration to align with your recruitment processes and data requirements.
  11. Support: Our technical support team is available to assist you in setting up and troubleshooting any issues related to ATS integration. 
  12. Revocable Access: You have the option to revoke our access to your ATS at any time. If you choose to discontinue ATS integration, please contact our support team, and we will assist you in terminating the connection.This, however, can have an impact on our ability to provide you with our candidate ranking services.
  13. Questions and Contact: If you have any questions or concerns about ATS integration, including how it functions, its benefits, or data security measures, please reach out to us at info@rolescale.com. We are here to provide you with the information and assistance you need.
  1. Compliance with Laws: Client agrees to use the Platform in compliance with all applicable laws and regulations, including but not limited to data protection and privacy laws.
  2. Fair Assessment: Client shall use the Platform responsibly and ethically, ensuring fair and unbiased assessments of candidates.
  1. No Employment Guarantee: Using the Platform does not guarantee the successful hiring of candidates. The final hiring decision remains with the Client.
  2. Technical Limitations: While we strive to maintain the Platform’s security and functionality, we do not guarantee that it will be error-free or uninterrupted.
  1. Changes to the Agreement: We may update or modify this Agreement from time to time. Your continued use of the Platform after any such changes will constitute your acceptance of the updated Agreement.
  1. Notification: We will notify the Client of any material changes to this Agreement through the Platform or by other reasonable means.
  1. Pricing: RoleScale reserves the right to change the prices for any of its services including, but not limited to, any prices associated with subscription service plans at any time. Should RoleScale change any pricing, RoleScale shall provide its existing Customers with at least thirty (30) days notice.
  1. Accessibility Statement: We are committed to providing equal access and opportunity to all users of our Services. If you have a disability that may affect your ability to take the automated interview or may impact your scoring on RoleScale.com, you may request an accommodation by contacting us at info@rolescale.com before taking the interview. We will try our best to accommodate your needs and adjust our AI algorithm accordingly. However, we cannot guarantee that we will be able to provide accommodation for every request or situation.

  8. Accessible Communication: If you require assistance or accommodations related to communication, please inform us of your preferences, and we will strive to provide information in an accessible format.
  9. Third-Party Content: While we strive to ensure accessibility within our platform, we cannot guarantee the accessibility of third-party content or external websites linked from our services. We encourage users to report any accessibility issues they encounter.
  1. Data Utilization:
    1. We may use aggregated and anonymized data from your answers and resume to improve our Services, conduct research, or provide insights to other users or employers. 
    2. We reserve the right to use aggregated and anonymized candidate data to improve the Platform’s algorithms and offer personalized insights to candidates for profile enhancement
    3. Candidate Information Sharing: Non-Selected Candidates – If you decide not to hire certain candidates, we may share their anonymized details with other employers using the Platform, giving them the opportunity to explore potential matches.
    4. Machine Learning Algorithm: You acknowledge and agree that your information and interactions on the Platform may be used to enhance the machine learning algorithm, improving the accuracy and effectiveness of the assessment process
    5. ATS Data: You acknowledge and agree that the Platform will have access to candidate information stored in your ATS provider’s system. We will use this data solely for the purpose of facilitating candidate assessments
  2. Video Content and Services: RoleScale provides its Customers the ability to take video interviews and tools to use in association with the RoleScale Services. If you choose to use your webcam and microphone through RoleScale Services for audio and video communications, you authorize RoleScale to allow others to see and hear you through the audio and video obtained through these devices. You also authorize RoleScale to record and store such information on its servers in your Account. Please note that RoleScale will not use your recorded content for any purpose unrelated to your Account.
  3. Candidate Data: Client shall ensure that they have the necessary rights and permissions to share candidate data with the Platform and that the data provided is accurate and lawful.
  4. Confidentiality: We will treat all candidate data and information obtained through the Platform with strict confidentiality and will not disclose it to unauthorized third parties.
  5. Information We Collect: We collect information that you provide directly to us when you use our services. This includes, but is not limited to:
    1. Personal information (name, email, contact details)
    2. User-generated content (resumes, profiles, job preferences)
    3. Usage data (log data, device information, browser type)
    4. Communication data (messages, interactions)
  6. How We Use Your Information: We use your information for various purposes, including the following:
    1. Providing and improving our services
    2. Personalizing your experience
    3. Communication about updates, offers, and news
    4. Understanding user behavior and preferences
    5. Legal compliance and protection
  7. Information Sharing and Disclosure: We may share your information with: Trusted third-party service providers (payment processing, analytics, communication), Business partners and affiliates for collaboration, Legal obligations, law enforcement, and government agencies
  8. Your Choices: You can: Access, update, or delete your account information, Opt-out of promotional communications, Set your browser to refuse cookies, Manage preferences for AI-powered features (if applicable)
  9. Security Measures: We employ industry-standard security measures to protect your data, including encryption, secure protocols, access controls, and regular security assessments.
  10. Third-Party Links: Our services may contain links to third-party websites or services. We are not responsible for their privacy practices, and you should review their policies separately.
  1. User and Client Obligations: You agree to indemnify, defend, and hold RoleScale Inc., its affiliates, partners, officers, directors, employees, agents, and licensors harmless from and against any and all claims, losses, liabilities, expenses, damages, and costs (including reasonable attorneys’ fees) arising out of or resulting from:
    1. Your Use of Our Services: Any use of our services in violation of our policies, including but not limited to our Privacy and Security Policy, Terms of Service, or License Grant and Restrictions.
    2. Content Submitted: Any content you submit or share on our platform, including user-generated content, that infringes upon the rights of others, violates applicable laws, or breaches contractual obligations.
    3. Violation of Laws: Any violation of applicable laws, regulations, or legal obligations in connection with your use of our services.
  2. RoleScale Inc.’s Right to Defend: RoleScale Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
  3. Notification of Claim: In the event of a claim subject to indemnification under this clause, RoleScale Inc. will provide you with prompt notice of the claim and an opportunity to participate in the defense. Failure to participate in the defense may not relieve you of your indemnification obligations.
  4. Limitations: RoleScale Inc. will make reasonable efforts to notify you of any claims that may be subject to indemnification under this clause. However, our failure to promptly notify you will not relieve you of your indemnification obligations, except to the extent that such failure materially prejudices your ability to defend the claim.
  1. No Warranty on Services: RoleScale Inc. provides its services “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that our services will be error-free, uninterrupted, secure, or free from viruses or other harmful components.
  2. Exclusion of Damages: To the extent permitted by applicable law, RoleScale Inc., its affiliates, partners, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
    1. Use or Inability to Use Our Services: This includes any disruptions, errors, or delays in our services, even if we have been advised of the possibility of such damages.
    2. Unauthorized Access: Unauthorized access to or use of our servers and any personal information stored therein.
    3. Third-Party Content: Content posted by third parties or the conduct of any third party using our services.
  3. Maximum Liability: To the extent permitted by applicable law, the total liability of RoleScale Inc., its affiliates, partners, officers, directors, employees, agents, and licensors, for any claims arising under this Privacy and Security Policy, including for any implied warranties, is limited to the amount you paid us to use our services or, if we choose, to supplying you the services again.
  4. No Liability for Third-Party Actions: RoleScale Inc. disclaims any liability for the actions, products, or content of third parties in connection with our services. You expressly understand and agree that we shall not be responsible or liable for any loss or damage of any kind incurred as a result of any such dealings or as a result of the presence of such third parties on our platform.
  5. Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the limitations set forth above may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

RoleScale Inc. does not endorse or validate the accuracy, quality, or legality of user-generated content.
